Tommy: a bank mapped SpaceX buying Tesla; Musk would vote fifty-six percent of it. Dougie: one share, fifty-six percent, sweet. Abe: thirty-seven percent owned, how's that fifty-six? Mayor Dithers: because he's taller. Abe: dual-class shares, some shares get extra votes. Tommy: a third can control the vote. It's a bank scenario, not a deal.
In Barclays' sketch of SpaceX buying Tesla for stock, Elon Musk would own about 37% of the combined company but hold 56% of its voting power, because SpaceX's shares come in two classes with unequal votes; the bank also allows a six-to-twelve-month window for an announcement unconnected to Tesla's annual meeting, and nothing has been announced.
